Terms of Service

You must be at least 13 years old and legally capable of entering into a binding contract to use the Services. If you are under 18, you may use the Services only with the permission and supervision of a parent or legal guardian who agrees to these Terms. You must use the Services in compliance with all laws that apply to you.

You can create an account with Google sign-in or with an email address and password. You agree to provide accurate information, keep your credentials confidential, and notify us promptly at support@argenix.ai if you suspect unauthorized use of your account. You are responsible for activity that occurs under your account. We may suspend or reclaim accounts where reasonably necessary for security or to prevent abuse.

• The Services offer a free plan with a limited monthly usage allowance and paid subscriptions (currently Pro and Team) with higher allowances. Current pricing and allowances are shown at the point of purchase and may change over time.
• Payments are processed by Stripe. We never receive or store your full card number.
• Paid subscriptions renew automatically each billing period until canceled. You can cancel at any time from your account’s billing portal or by contacting support@argenix.ai; cancellation takes effect at the end of the current billing period, and you keep paid access until then.
• Except where required by law, payments are non-refundable and we do not prorate partial billing periods.
• If a renewal payment fails or your subscription lapses, your account falls back to the free plan and its allowances.
• We may change prices or plan allowances with reasonable advance notice; changes apply from your next billing period.
• Usage allowances exist to keep the Services sustainable. Automated or scripted use designed to circumvent limits, or sharing accounts to evade them, is prohibited.
• Prices are exclusive of taxes, which may be added where applicable.

Argentic Code includes an agentic coding assistant that reads and writes files and executes commands on your machine, subject to the permission modes and per-action approvals you configure in the app.

• You are responsible for the permission settings you choose and the actions you approve. Review proposed file changes and commands before allowing them, especially destructive ones.
• Because the agent can modify or delete files as directed or approved, you are responsible for keeping backups and using version control. We are not responsible for loss of data caused by actions you configured or approved.

Responses in the Services are generated by third-party AI models. Output may be inaccurate, incomplete, outdated, insecure, or otherwise unsuitable for your purpose. You must review output — especially code — before executing, shipping, or otherwise relying on it. Output is not professional advice (legal, medical, financial, or otherwise). You are responsible for your use of output, including ensuring that code you accept complies with applicable licenses and third-party rights. As between you and Argenix, we claim no ownership of your output.

You own your content — your prompts, conversations, code, files, and the output you generate. You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, transmit, and process your content solely as needed to operate, secure, and provide the Services, including routing content to the AI model provider you select to generate a response.

• We do not use your content to train AI models, and we do not grant our providers the right to do so on our behalf.
• Your local workspace content (repositories, files, Code-side conversations) stays on your device and is not stored on our servers; it is transmitted only transiently as needed to generate a response.
• If you send us feedback or suggestions, we may use them without restriction or obligation to you.

You may connect your own AI provider credentials (for example an Anthropic API key or an OpenAI/ChatGPT account). If you do, you are responsible for fees charged by that provider and for complying with the provider’s terms. API keys you paste into the app are stored in your device’s operating-system keychain, not on our servers; OAuth credentials we hold for you are encrypted at rest. We use your credentials solely to fulfill the requests you make.

Optional connectors (currently Gmail) let the Services act on your behalf in a third-party account — for example, sending an email you composed. You authorize each action, you are responsible for the content you send, and you can disconnect at any time in the app or from your Google account’s security settings. The third party’s own terms govern your account with them.

You agree not to:

• use the Services to violate any law or the rights of others;
• use the Services to create or distribute malware, or to attack, probe, or gain unauthorized access to systems or data — ours or anyone else’s;
• interfere with the operation of the Services, or attempt to bypass usage limits, rate limits, or security measures;
• share, rent, or resell access to the Services without our written permission;
• misrepresent AI output as human-authored where that matters, or use the Services in violation of the model providers’ usage policies;
• upload content that is unlawful or that you have no right to use.

We may investigate suspected violations and may suspend or terminate accounts that breach this section.

The Services — including the application, websites, and Argenix and Argentic brands — are owned by Argenix and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to install and use the application for your personal or internal business use. You may not copy, modify, distribute, or reverse engineer the Services except to the extent the law permits despite this restriction, and you may not remove proprietary notices.

The Services interoperate with third parties we don’t control — AI model providers (such as Anthropic and OpenAI), Stripe for payments, and Google for sign-in and connectors. Their terms and privacy policies govern their processing, and we are not responsible for third-party services.

Our Privacy Policy explains what we collect, what we deliberately don’t, and how we handle it. In short: your code stays on your machine, your conversations are readable only by you, and we never train on your content.

We are a small company shipping quickly. Features may change, be added, or be removed, and beta features are provided as-is. We work hard to keep the Services available but do not guarantee uninterrupted or error-free operation.

You may stop using the Services at any time and may delete your account in the app (Settings → Account), from your account page on argentic.argenix.ai, or by emailing support@argenix.ai. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if your use creates risk or harm to the Services or others; where practical we will notify you. Sections that by their nature should survive termination (including 5, 6, 10, and 14–19) survive.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, ARGENIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES OR AI OUTPUT WILL BE ACCURATE, RELIABLE, SECURE, OR ERROR-FREE.

TO THE FULLEST EXTENT PERMITTED BY LAW, ARGENIX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES — INCLUDING ACTIONS TAKEN BY THE CODING AGENT THAT YOU CONFIGURED OR APPROVED — EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR (B) US $50. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

You will defend and indemnify Argenix against claims and costs (including reasonable attorneys’ fees) arising from your content, your use of the Services, or your violation of these Terms, the law, or third-party rights.

These Terms are governed by the laws of the State of Idaho, USA, excluding its conflict-of-laws rules. Before filing a claim, you agree to try to resolve the dispute informally by emailing support@argenix.ai and allowing 30 days. Disputes that can’t be resolved informally will be brought exclusively in the state or federal courts located in Idaho, and each party consents to their jurisdiction. Either party may instead bring an individual claim in small-claims court.

These Terms plus the Privacy Policy are the entire agreement between you and Argenix about the Services. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. You must comply with applicable export-control and sanctions laws in using the Services.

We may update these Terms as the Services evolve. We will post the updated Terms with a new “last updated” date, and for material changes we will give reasonable notice (for example on the site, in the app, or by email). Using the Services after changes take effect means you accept them.
